Industrial Power Units for Industry LLC (IPU SA)
These Terms and Conditions (“Terms”) apply to all sales, services, and transactions between Industrial Power Units for Industry LLC (IPU SA) and its clients. By engaging with IPU SA, you agree to the following terms:
These terms apply to all materials, equipment, and services provided by IPU SA unless a separate written contract states otherwise.
All quotations and sales are subject to IPU SA’s standard terms. Any terms provided by the client (e.g., in a purchase order) will not override these unless explicitly accepted in writing.
Delivery dates are estimates. While IPU SA endeavors to meet quoted timelines, delays do not constitute grounds for cancellation or liability.
Risk of loss or damage passes to the client upon delivery. Ownership remains with IPU SA until full payment is received.
Quoted prices are based on current regulations and market conditions. Any regulatory or economic changes affecting cost or delivery will result in adjusted terms.
Orders below SAR 1,000,000: 40% advance, 60% before delivery.
Orders above SAR 1,000,000: 25% advance, 75% before delivery or within 30 days by LC or certified cheque.
Late payments may result in project suspension, termination, and additional costs (handling, storage, financing). IPU SA reserves the right to seek compensation for terminated or suspended contracts.
Delivery is governed by the agreed Incoterms. If the client fails to collect the goods on time, IPU SA may store them at the client’s cost and risk, and issue a storage certificate in lieu of shipping documentation.
All technical documents, designs, and drawings provided remain IPU SA’s intellectual property. Use is limited to project operation, and unauthorized sharing or reproduction is prohibited.
Testing is conducted as specified in the technical documentation. IPU SA will provide on-site commissioning where agreed. Any withholdings by the client must not exceed 5% of order value and must be released within agreed timeframes.
IPU SA offers a warranty of 12 months from delivery or 18 months from order date, whichever comes first.
Warranty covers defects in materials or workmanship, not damages caused by:
Misuse or improper storage
Unauthorized repairs
Force majeure
Client-supplied materials or designs
IPU SA is not liable for indirect, special, or consequential losses including profit loss or downtime. Any liability is capped at the contract value in the year of occurrence.
Clients agree not to solicit or hire IPU SA employees directly involved in a project, without prior written consent.
IPU SA is not liable for non-performance due to events beyond its control, such as war, natural disasters, strikes, or supply chain disruptions.
These terms are governed by the laws of the Kingdom of Saudi Arabia, and any disputes are subject to the exclusive jurisdiction of Saudi courts.
These terms are issued in English. Any translations are for reference only and not legally binding.
